Terms of Use for NEC Laboratories Europe Alumni Network

By registering with the NEC Laboratories Europe Alumni Network at https://neclab.eu/alumni-network (hereinafter the "NLE Alumni Network" or “Network”), you agree to be bound by the following terms and conditions (hereinafter the “Terms of Use”):

  1. Operator of the NLE Alumni Network; Scope of application of the Terms of Use; Purpose of the NLE Alumni Network.
    1. The operator of the NLE Alumni Network is NEC Laboratories Europe GmbH (hereinafter "NLE"). Details about the operator (e.g., authorized representatives, contact details, association register details) can be found in the section “Corporate Information” in the public website of NLE, at https://neclab.eu/corporate-information. The NLE Alumni Network is the property of NLE.
    2. These Terms of Use apply to use of the NLE Alumni Network and the information, content or other material that appears on the Network (e.g., text, links, graphics, photos, audio and video),  hereinafter called the “Content”, by former employees of NLE that register and create a professional profile (hereinafter “Alumni”). By using the NLE Alumni Network, Alumni create professional profiles to be publically displayed and shared, and can engage with exclusive and early access NLE Content, accessible only by Alumni (such as webinars articles and blog posts).
       
  2. Alumni registration
    1. You may register with the NLE Alumni Network only if you have been a former employee of NLE. To register, you need to fill the Alumni registration form, set a password and submit the form, which provides your personal details to NLE for verification.
    2. The data you provide during registration (and in particular first name, last name, phone number, e-mail address, time period worked at NLE) must be accurate, complete and your own data. This data will be deleted if your registration request is denied.
    3. The registration is complete when, after submitting your request to register on the NLE Alumni Network, you receive email notification of: (i) account activation and (ii) instructions to log in and create a profile, with a link to the login page.
    4. Registration with the NLE Alumni Network is possible only for former employees. NLE explicitly reserves the right to exclude users who do not fulfill this requirement from registering and making use of the extended features of the NLE Alumni Network.
       
  3. Alumni account and profile
    1. Creating an Alumni account involves the set-up of a professional profile that will be visible to any user visiting the NLE Alumni Network pages of the public NLE website. Without setting up a professional profile for the NLE Alumni Network, registered alumni cannot make use of the extended features of the NLE Alumni Network. Should registered alumni no longer wish to be part of the NLE Alumni Network then they have to submit a request for deactivation of their account.
    2. As set out in clause 2, once the account is activated, you will be directed to create a professional profile with the option to preview and amend it before submitting it for approval to be published. To create a profile you will need to upload a suitable portrait photo for professional purposes, and provide certain information about your professional background that includes: first name and family name, name of current employer, academic title (optional), current job title, biography (no more than 150 words), and a summary of research highlights or achievements of no more than 150 words (optional). The information that you include in your profile must be true and accurate, and will remain there until you request to have specific information deleted or have your profile removed
    3. Upon a request to delete your profile, NLE shall remove your profile from NLE’s public website, which means that your account will be deactivated and its content deleted from our content management system. You can request modifications or updates of your profile at any time, however, such updates that are not rectifications of faulty information may be limited to one per month.
    4. NLE reserves the right to :
      • deny the publication of Content that may potentially damage NLE or its affiliates or is in violation of the online rules of conduct set forth in clause 4 below;
      • verify that the Content you provide is truthful and correct;
      • modify the Content you provide to conform to the website linguistic style, design concept and format;
      • implement any profile updates at a time that is suitable to them; and
      • remove any profile at any time, especially if the Alumni of such profile is in breach of these Terms of Use.
    5. You acknowledge that any Content to be uploaded in your profile is subject to prior approval by NLE.
    6. You remain solely responsible for the Content that you make available on the NLE Alumni Network.
    7. Each time you access the password-protected area of the NLE Alumni Network, you need to sign in your Alumni account, by giving your user name and your password (hereinafter the "login data"). You are obliged to handle your login data carefully by keeping it secure and confidential to prevent its use by third parties. You are solely responsible for the activity that occurs under your account. You must notify NLE immediately of any breach of security or unauthorized use of your account. NLE will not be liable for your losses caused by any unauthorized use of your account, and you may be liable for losses incurred by NLE or others due to such unauthorized use. Your account must not be shared, transferred or sold to other parties.
       
  4. Online rules of conduct
    1. You agree to abide by applicable laws and in particular not to violate any rights of NLE or third- party rights (e.g., copyright, intellectual property rights, name rights and other personal rights).
    2. In addition, you may not inter alia:
      • place any Content on the NLE Alumni Network that may be perceived as offensive, defamatory or irreverent;
      • post Content that is bigoted, hateful or contains obscene language or images;
      • perform any form of commercial solicitation;
      • install, transmit and/or procure in any way the sending through the NLE Alumni Network of digital viruses and/or any other kind of harmful or destructive files and/or malicious programs designed to destroy or limit the function of software or any telecommunication equipment or inhibit other users from using the Network;
      • perform any actions that may be detrimental to and/or which excessively burden the operation of the NLE Alumni Network or the technical infrastructure behind it;
      • attempt to use or distribute tools designed for compromising security or take any action to compromise the security of the NLE Alumni Network;
      • copy, scrape, download, export or otherwise capture any Content obtained in the NLE Alumni Network (e.g., the Alumni directory) and/or store this outside of the system, such as in a separate spreadsheet, email list, database or other external repository without the permission of NLE; and
      • access or attempt to access any other Alumni’s account, or attempt to misrepresent your identity while using the NLE Alumni Network.
    3. You agree not to log into the NLE Alumni Network by any means other than through the interface provided by NLE for this purpose.
    4. Copyrighted material (including without limitation software, graphics, text, photographs, sound, video and musical recordings) may not be placed on the NLE Alumni Network without the express permission of the rights holder to do so, or having being granted other legal entitlement to use the material.
    5. NLE is entitled at any time, and without prior notice, to block access to individual Content that you have posted on the NLE Alumni Network, or to remove such Content from the NLE Alumni Network if it is suspected that such Content violates applicable laws, the rights of NLE, the rights of third parties or if it is suspected that it is against above rules set forth in clause 4.
       
  5. Third-party resources; Links to third-party sites
    1. The NLE Alumni Network publishes news and information that may include facts, views, opinions and recommendations of individuals and organizations deemed of interest to members of the NLE Alumni Network. NLE does not endorse information provided by third-party organizations or individuals, nor does it review, monitor, verify or guarantee the accuracy, completeness or timeliness of that information. NLE does not give advice or advocate the purchase or sale of any product or service not directly offered by NLE or its affiliates.
    2. The NLE Alumni Network may contain links to third-party websites that are not owned by, affiliated with or controlled by NLE. NLE has no control over, and assumes no responsibility for, the Content, privacy policies or practices of any third-party websites not directly affiliated with NLE. In addition, NLE Alumni Network administration will not and cannot censor or edit the content of any non-affiliated third-party sites. By registering with the NLE Alumni Network, you expressly release NLE from any and all liability arising from your use of any third-party website.
       
  6. Proprietary rights; Rights of use
    1. You acknowledge and agree that the NLE Alumni Network, the Content presented to you and any necessary software used in connection with the Network are proprietary to NLE and/or its affiliates and/or its licensors and are protected by applicable intellectual property and other laws. No proprietary right is granted to you in any and all items of the NLE Alumni Network, other than those rights of use expressly set forth herein.  
    2. In particular, NLE gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software provided to you as part of the NLE Alumni Network. This license has the sole purpose of enabling you to use and enjoy the benefit of the Network as provided by NLE, in the manner permitted by these Terms of Use. In addition, you are granted a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the Content appearing on the network solely for private purposes. You are not entitled to use Content on the NLE Alumni Network other than for private purposes; you are particularly not permitted to make use of such Content commercially. Any reproduction (even in excerpt form) of Content on the NLE Alumni Network is only permitted for your own use. Any use beyond this shall be subject to the express prior written consent of NLE. This does not apply to the Content that you have provided. You retain your rights to any Content you submit to be uploaded on the Network, or Content that you post on the Network.
    3. For Content that you provide, you grant NLE a non-exclusive and royalty-free right of use, without any restrictions in terms of time, place and scope, particularly for the purpose of storing the Content on the server(s) of the NLE Alumni Network as well as for the purpose of permanent, public reproduction and distribution of the Content on the Network – be it in whole or in part. NLE is entitled to use the Content in connection with the operation of the NLE Alumni Network including, without limitation, the rights to copy, distribute, transmit, publicly display, publicly perform, make available, reproduce, edit, translate and reformat your Content and to publish your name in connection with your Content. You acknowledge and agree that NLE may disclose Content, if required to do so by law or in order to (a) comply with legal processes; (b) enforce these Terms of Use; (c) respond to claims that any Content violates the rights of third parties; or (d) protect the rights of NLE, its affiliates and employees, its users and the public.
    4. As far as necessary for the use of the Content, according to the purposes described in clause 6.3, NLE shall be entitled to transfer the granted rights to any NEC Group entity and/or to grant the same rights of use to any NEC Group entity. An NEC Group entity shall mean NEC Corporation, the parent company of NEC Group, established in Japan, and any other company or other entity, in which NEC Corporation has, directly or indirectly, more than fifty percent of outstanding shares or stocks entitled to vote for the election of directors now or hereafter.
    5. You assure that you are authorized to dispose of the rights granted pursuant to clause 6.3 above to the extent governed by these Terms of Use and that there are no rights of third parties to the Content that oppose the use of said Content.
    6. NLE respects the intellectual property rights of others. If you believe your intellectual property rights have been violated on the NLE Alumni Network, please contact alumni@neclab.eu.
       
  7. Availability and smooth operation
    1. NLE has no obligation to offer the NLE Alumni Network and may modify its design and layout at its own discretion at any time with or without notice, including the removal of all professional profile pages.
    2. NLE makes all reasonable efforts for the maintenance and availability of the NLE Alumni Network. However, you acknowledge that the availability of the NLE Alumni Network may be affected by a users’ equipment, other communication networks, the availability of third parties access services, the high number of users trying to use the NLE Alumni Network simultaneously or other factors. Therefore, you agree that NLE will not have any liability whatsoever for the failure of the NLE Alumni Network to operate trouble-free.
    3. NLE is entitled to restrict access to the NLE Alumni Network in whole or in part, temporarily or permanently, due to maintenance, capacity issues and other events that are not within the power of NLE.
    4. NLE is entitled to discontinue the operation of the NLE Alumni Network in full or in part at any time without giving any reasons whatsoever, without claims for damages arising as a result.
       
  8. Termination
    1. The use of the NLE Alumni Network by you runs indefinitely and can be terminated by either party at any time without observance of a period of notice and without reasons being given in this regard. If you trigger the removal of your profile, this means that you no longer want to make use of the NLE Alumni Network, which leads to the termination of use. The same applies in the case of the complete discontinuation of the NLE Alumni Network by NLE, as in clause 7 set forth.
    2. It goes without saying that the parties are entitled to terminate the agreement for serious cause. A serious cause for the extraordinary termination by NLE is particularly any violation by you of material obligations set forth in these Terms of Use.
    3. In particular, in case of serious violations of your obligations (e.g., the violation of copyright or other protective rights, the infringement of personality rights or the posting of particularly offensive, defamatory or irreverent Content), NLE shall be entitled to exclude you from the use of the NLE Alumni Network as well as to completely remove your profile, including all data, immediately and without prior notice. NLE reserves the right to initiate civil and/or criminal proceedings, particularly for claiming of damages and/or the filing of a criminal complaint.
       
  9. Data protection

    The use of the NLE Alumni Network makes the storage, use and processing of your personal data by NLE unavoidable. For details on data protection please refer to the consent form you have agreed to and the addendum Information pursuant to the EU General Data Protection Regulation (GDPR) for joining the NLE Alumni Network as well as to the NLE privacy policy to be found at https://neclab.eu/privacy-policy.

  10. Trademark notice

    The names, marks, logos, devices and designs associated with NLE are and will remain the exclusive property of NLE or its affiliates (collectively, “NEC Trademarks”).  You may not use, reproduce, copy, or redistribute NEC Trademarks without the prior written permission of NLE or its affiliates. All other names, marks, logos, devices and designs appearing on the NLE Alumni Network are proprietary to their respective owners. No trademark or service mark appearing on the NLE Alumni Network may be used without the prior written consent of the mark’s owner.

  11. Liability; Disclaimer of warranties
    1. The NLE Alumni Network is offered by NLE on a best-effort basis. NLE expressly disclaims any warranties. In particular, NLE does not warrant that the NLE Alumni Network will operate in an uninterrupted or error-free manner or that the NLE Alumni Network is free of viruses or other harmful components or that the NLE Alumni Network will meet your requirements.
    2. NLE will not be liable to you for any loss or damages, either actual or consequential, whether foreseeable or unforeseeable, (including, but not limited to, claims for defamation, errors, misuse of email or other services, loss of data, or interruption in availability of data), arising out of or relating to these Terms of Use, or to your use or inability to use the NLE Alumni Network, or to your posting of Content on the NLE Alumni Network, or to your reliance upon information obtained from or through the NLE Alumni Network. The foregoing limitation does not apply in case of (i) damages to body or health or (ii) intentional or grossly negligent misconduct.
       
  12. Indemnification

    You agree to defend, indemnify and hold NLE, its officers, employees and agents harmless from any claims, losses or damages, including legal fees, resulting from your violation of these Terms of Use, your use of the NLE Alumni Network or your submission of any Content onto the NLE Alumni Network, and to fully cooperate in NLE’s defense against any such claims.

  13. Final provisions
    1. These Terms of Use are found at https://neclab.eu/alumni-network/terms-of-use, and complement the general terms of use that govern use of the NLE public website located at https://www.neclab.eu/terms-of-use. To the extent that any of the general terms of use of the NLE public web site conflict with these Terms of Use, the latter shall prevail.
    2. Should one or more provisions of these Terms of Use be or become invalid, the effectiveness of the other provisions shall remain unaffected thereby.
    3. All matters relating to the NLE Alumni Network and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of Germany, without giving effect to any choice or conflict of law provision or rule.
    4. NLE reserves the right to update these Terms of Use at any time. Amendments to these Terms of Use by NLE will be announced on the NLE Alumni Network and will take effect after a period of 30 days from announcement. You are encouraged to periodically review these Terms of Use to stay informed of updates. Your continued use of the Network after the lapse of the thirty-day period will be deemed an acceptance of the changes.
    5. NLE’s failure to exercise or enforce any right or provision of these Terms of Use, including any failure to act with respect to a breach, will not constitute a waiver of such right or provision or its right to act with respect to subsequent or similar breaches.
